VIDEO COMPETITION

OFFICIAL COMPETITION RULES AND REGULATIONS

1. No purchase necessary to enter or win; a purchase will not increase your chances of winning. To be eligible to enter, a participant must be a resident of Canada (excluding Quebec) or the 50 United States of America (including the District of Columbia) and of the age of majority in his or her province/state of residence. All employees of Found Your Calling (”Sponsor”) and its parents, affiliates and subsidiaries, and the immediate families (parent, child, sibling and spouse of each) and household members of each, are not eligible to win. By submitting an entry and photograph, a participant agrees to be bound by these Official Rules and the decision of the Sponsor and the judges. Void in Quebec and where prohibited by law.

2. The competition submission will run from June 25th, 2008 to August 15th, 2008 or until 5,000 entries have been received. No additional entries will be accepted once 5,000 entries have been received. Competition voting will take place from August 16th, 2008 to September 15th, 2008. There is a limit of one entry per eligible participant.

3. Individuals can participate in the competition by submitting a Video of their own creation (”Video”). All Videos must be received by no later than 11:59 p.m. Eastern Standard Time on August 15th, 2008.

Participants may submit their Video by registering at www.foundyourcalling.com and uploading one original Video of their own creation. The submitted Video must be a .WMV, .MOV, or .AVI file, approximately one (1 to 3) minutes in length, and in the English language. Videos that do not meet these specifications will be rejected and not considered valid entries.

All submitted Videos must be originally and lawfully created by the entrant. Any entries with third party images, Videos, television clips, music or other third party content will be disqualified.

The registration must be accurately and completely filled out, including the participant’s name, address (no P.O. boxes), telephone number, and email address. All submitted Videos, and all copyrights in the submitted Video become the property of Sponsor.

Prohibited Content. Entries must be suitable for publication (i.e. not obscene, offensive or indecent) and must not have been submitted in other contests or been previously published. Any entry that incorporates prohibited content, including but not limited to, third party creations trademarks, names, or other third party property(ies), or the work of creative consultants, or any content that is pornographic, illicit, or otherwise objectionable or contains racial, religious, or ethnic slurs, explicit language, obscene, pornographic, violent, or sexual content, or libel, hate speech, references to alcohol, drugs or other illicit substances, or otherwise objectionable, offensive, illegal or prohibited material or that otherwise in Sponsor’s sole and absolute discretion violates these and/or is not in compliance with these Official Rules, will not be accepted for entry and will not be eligible to win any prize in this competition.

4. By entering, entrants warrant that their Videos and entries contain only their own, original creations. Entrants further warrant their Videos and entries do not contain any third party copyrighted materials, and otherwise do not violate or infringe the rights, including, without limitation, copyrights, trademark rights or rights of publicity/privacy, of any third party.

5. Judges from Sponsor shall review and assess the Videos on the basis of creativity (20%), originality (20%), uniqueness (20%), passion (20%) and interest (20%). The judges may elect not to select winners in the event that (i) insufficient Videos are submitted, or (ii) the Videos submitted do not meet minimum qualitative expectations. You may be asked to provide the Video project file if you are selected as the winner. All decisions of the judges are final. All selected participants will be announced on the website at www.foundyourcalling.com.

6. All eligible Videos will be posted on www.foundyourcalling.com by August 15th, 2008. The public will have an opportunity to vote for their favorite Video. The voting period will start August 16th, 2008 and end September 15th, 2008. Only one vote per voting registration is allowed. Individuals are prohibited from registering more than once to vote multiple times. The use of any automated launching or entry software or any other mechanical or electronic means that permits the participant to automatically vote repeatedly is prohibited. Multiple votes from a single user will be disqualified. Voting irregularities will be determined by the contest judges and voter disqualification will be based solely on their final determination. 10 video finalists will be chosen by popular registered vote and 5 additional video finalists will be chosen by the Sponsor team independent of votes. The sponsorship team will then select one of the 15 video finalists to be declared the Grand Prize winner. The Grand Prize winner of the Contest will be announced September 23rd, 2008 and be posted on www.foundyourcalling.com.

7. By entering this competition, each entrant (i) grants to Sponsor and its subsidiary and affiliated companies, and any companies involved in the promotion of the Sponsor’s products and services, and each of their respective licensees, successors and assign, and any of their employees, directors, officers or agents (collectively the “Sponsor Parties”) a worldwide, perpetual, irrevocable, royalty-free right to use the Video for any purpose, including without limitation for any promotion of the competition or of future competitions or promotions of Sponsor Parties and the posting, performance and use of the Video on Sponsor Parties’ respective websites, and agrees (ii) that the Sponsor Parties have the right to use the Videos, and, except if entrant is a resident of TN or otherwise where prohibited by law, has the right to use the entrant’s first and/or last name, user or screen name and hometown on Sponsor Parties’ respective websites and in any and all media in and in connection with promotion, publicity, or marketing of Sponsor Parties’ products and services, without any further attribution, notification or compensation to entrants; (iii) that Sponsor Parties, in their sole discretion, may adapt, edit, composite, remix, morph, scan, duplicate, alter and/or otherwise modify any Videos, in whole or in part, without any restrictions as to changes, for publication or for any other purpose, as they deem necessary or desirable, or that is otherwise allowed under these Official Rules; (iv) to be bound by these Official Rules and the decisions of the Judges; and (v) to be contacted by Sponsor Parties by telephone, mail and/or email regarding this competition.

8. Any or all of the submitted Videos may be published by Sponsor on a website of its choosing. Sponsor may edit the Videos prior to publication, and may elect to refrain from publication for any reason.

9. If the selected participant cannot be reached by telephone or email within fourteen (14) days of the selection, or otherwise does not meet all competition conditions, his or her prize may be forfeited and another entrant may be selected.

10. There is one (1) Grand Prize.

The grand prize package includes:

• $5,000 cash

The total approximate value of the grand prize package is $5,000.

11. The prizes are non-transferable and no cash alternatives will be provided. Sponsor reserves the right to substitute the prizes described above in (10) with prizes of equal or greater value. Winners are responsible for any and all taxes related to the award of the prize. Sponsor will issue a form 1099 to the winner of this competition.

12. Prior to receiving their prize, a selected participant will be required to sign a declaration and release to: (a) confirm compliance with the Official Rules; (b) release Sponsor Parties from all liability; (c) accept the prize as awarded; (d) consent to the use of the participant’s name, address, likeness and/or image for publicity purposes in all mediums by Sponsor Parties, except where prohibited by law; (e) assign copyright in Video to Sponsor (including an acknowledgement that the author will not receive any royalties in the event the Video is published); (f) waive any and all moral rights the participant has in the Video; and (g) indemnify Sponsor Parties for any damages, liabilities, lawsuits or expenses (including reasonable attorney’s fees) in the event that the Video submitted is not original and infringes any third party right or otherwise violates any law. Sponsor reserves the right, at its option, to publish the Video and the participant’s name, address, photograph, likeness, voice or statement without further compensation to that person, except where prohibited by law. To be declared a winner, a selected Canadian contestant must answer, without help and within a limited time, a mathematical skill-test question that will be asked on the declaration. Failure to sign and return the declaration within fourteen (14) days of its mailing or delivery to the winner will result in that winner’s disqualification and selection of an alternate winner.

13. The competition is subject to all applicable federal, provincial, state and municipal laws and regulations. As a condition of entering, entrants agree that all disputes arising out of this competition shall be resolved individually, without resort to any form of class action, and except for claims relating to Sponsor’s intellectual property rights, exclusively by binding arbitration by a single impartial arbitrator under the Commercial Arbitration Rules of the American Arbitration Association to be held in the State of Illinois, USA.

14. The name of the winner(s), as entered during the registration process, will be posted on the Sponsor website located at (http://www.foundyourcalling.com). The name of the winner(s) may also be obtained by writing to Sponsor at:

15. No correspondence will be entered into with participants except with the winner.

16. If you attempt to compromise the integrity or the legitimate operation of this competition by hacking or by cheating or committing fraud in ANY way, we may seek damages from you to the fullest extent permitted by law. Further, we may ban you from participating in any of our future contests, so please play fairly.

17. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction to or unauthorized alteration of the entries. Sponsor is not responsible for (i) any problems or technical malfunctions or any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software; (ii) the failure of any e-mail or entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site; or (iii) any combination thereof, including any injury or related damage to participants or any other persons, whether computer-related or resulting from participation or downloading of any materials in this competition.

18. Sponsor reserves the right in its sole discretion to cancel or suspend the competition should viruses, bugs or other causes beyond the control of Sponsor corrupt affect the administration, security, fairness, integrity or proper conduct of the competition.

19. Any personal information of participants provided in order to enter this competition will be collected, used and disclosed solely by Sponsor and only for the purposes of administering this competition and as otherwise permitted by these Official Rules. Except as noted herein, such personal information will be treated at all times in accordance with the privacy policy of Sponsor which can be found at http://www.foundyourcalling.com.
